IHRA TICKET TERMS AND CONDITIONS

These Ticket Terms and Conditions (these “Terms”) constitute a legally binding agreement between the Ticketholder (defined below) and Cuttell Motorsports, LLC, dba IHRA (“IHRA”) in connection with the Ticketholder’s attendance at an IHRA-sponsored or sanctioned event (the “Event”) using a valid ticket (the “Ticket”). For purposes of these Terms, “Ticketholder” means the individual who purchases, possesses, or uses a Ticket, and includes any accompanying minor(s) and any other person(s) for whom the Ticketholder has purchased a Ticket. By accepting or using a Ticket, whether in physical or electronic form, the Ticketholder agrees to be bound by these Terms on their own behalf and on behalf of all individuals included within the definition of Ticketholder. All rights, obligations, waivers, and conditions set forth in these Terms apply equally to each such individual.

  1. ACCEPTANCE OF TERMS; REVOCABLE LICENSE. Each Ticket is a revocable license that grants the Ticketholder admission to the applicable track or facility (the “Track”) and access to a spectator seat or standing room for the Event. The Ticket may be valid for a single day or for multiple days, depending on the specific terms of the Event and Ticket. Unless otherwise specified, re-entry is not permitted. Ticketholder acknowledges and agrees that (i) Ticketholder’s use of the Ticket is subject to these Terms; and (ii) by purchasing, accepting, and/or using such Ticket, Ticketholder is deemed to have read and understood these Terms, and agrees to be bound thereby. Any failure to comply with these Terms may result in forfeiture of the revocable license and all rights arising under it without refund and entitles IHRA and/or the applicable Track to pursue all legal remedies available. Admission may be refused or revoked and Ticketholder may be ejected at any time in IHRA’s and/or Track’s sole discretion.
     
  2. CONDUCT. Ticketholder acknowledges that these Terms and the Event are subject to and governed by all applicable rules, regulations, memoranda, resolutions, policies, procedures, guidelines, interpretations, directives, and agreements of IHRA and the Track (collectively, the “Rules”), as they may be adopted, amended, or modified from time to time. The Ticketholder agrees to comply with all Rules during the Event. Ticketholder is expected to conduct themselves in a respectful and sportsmanlike manner at the Event. IHRA and/or Track reserves the right to suspend or revoke, without refund, Ticketholder’s license to attend the Event for any behavior IHRA or Track (as applicable) deems, in its sole discretion, to be inappropriate, unlawful, harmful to the health, safety or enjoyment of other attendees, or otherwise in violation of the Rules.
     

  3. TICKET SALES; REFUNDS. All ticket sales are final. No refunds or exchanges are permitted except as provided herein. This Ticket is valid only for the specific Event indicated on the Ticket. Ticketholder must retain possession of this Ticket until the Event has concluded. This Ticket will not be replaced if lost, stolen, or destroyed. IHRA and the Releasees (defined below) are not responsible for lost, stolen, duplicated, or destroyed tickets. If the Event is not completed, this Ticket will admit the Ticketholder to a rescheduled or resumed Event. If the Event is not rescheduled or resumed, a refund may be issued in accordance with IHRA’s refund policy (as may be modified from time to time), which may include partial refunds depending on the portion of the Event that has taken place. No part of the purchase price will be refunded by reason of the failure of Ticketholder to use the Ticket for the Event. All Events and related activities are subject to modification or cancellation at any time at IHRA’s sole discretion.
     

  4. ASSUMPTION OF RISK. Ticketholder understands and acknowledges that there are certain inherent risks involved with attending the Event, including risks specific to motorsports and drag racing, such as high-decibel engine noise, flying debris or shrapnel from malfunctioning or crashing vehicles, inhalation of fumes or smoke, fire or explosion, loss of footing on uneven or slick surfaces near the track, and hazards associated with standing near or within the track or pit areas. By attending the Event, Ticketholder may risk injury and other damage, including, but not limited to, concussion, serious injury, death or permanent disability, contact or collision with other persons, vehicles, or objects, head injury, spine injury, injury to the muscular or skeletal systems, injury to internal organs, scratches, bruises, contusions, strains, sprains, fractures, verbal abuse, loss and/or damage to sight, loss and/or damage to teeth, loss and/or damage to hearing, paralysis, inadequate or negligent first aid or emergency measures, weather-related hazards, natural hazards, or lost, stolen, or damaged property, whether occurring before, during, or after the Event. TICKETHOLDER ACKNOWLEDGES AND AGREES THAT HE OR SHE IS VOLUNTARILY ATTENDING THE EVENT WITH KNOWLEDGE OF THE DANGERS INVOLVED, AND KNOWINGLY AND VOLUNTARILY ASSUMES AND ACCEPTS ALL RISKS ARISING OUT OF OR RELATED TO THE EVENT, INCLUDING, BUT NOT LIMITED TO, SERIOUS INJURY, DEATH, OR PERMANENT DISABILITY.
     

  5. RELEASE OF LIABILITY; INDEMNIFICATION.

    a. In exchange for entry into the Event, Ticketholder, on behalf of themselves and each of the other Releasors (as defined below), hereby releases and agrees not to sue IHRA, the Track, and any affiliates of IHRA and the Track and each of the employees, officers, directors, direct and indirect owners, subcontractors, sponsors, business partners, and agents of each of the foregoing entities, and all participants, operators, vendors, agencies, sponsors, advertisers, and owners and lessees of premises used in connection with or related to attendance at the Event (collectively, the “Releasees”) from or for, as applicable, all present and future liabilities, claims, and causes of action of any kind, whether at law or in equity, that may be made by Ticketholder or the Ticketholder’s family, estate, heirs, or assigns (collectively, the “Releasors”) arising in any way as a result of or in connection with (i) use of this Ticket, (ii) entry into, or presence within or around, the Event and/or Track, or (iii) participating in the Event or any related activities arranged, promoted and/or sponsored by any of the Releasees, including but not limited to actions for property damage, personal injury, wrongful death, invasion of privacy, defamation, or any right of publicity, right of privacy or any other cause of action arising out of the production, reproduction, distribution, transmission, publication, broadcast or exhibition of advertisements, promotions, content, programs and/or materials in which recordings or photographs of Ticketholder from the Event appear.

    b. Ticketholder on behalf of itself and the other Releasors understands and agrees that the Releasees are not responsible for any death, injury, or property damage arising out of attendance at the Event, EVEN IF CAUSED BY THEIR OWN NEGLIGENCE. Ticketholder also agrees to defend, indemnify, and hold harmless Releasees for all liabilities, claims, damages, causes of action, costs, and expenses of any kind arising out of or in connection with (i) Ticketholder’s attendance at, observation of, and/or participation in the Event, (ii) Ticketholder’s acts or omissions, or (iii) Ticketholder’s breach of any of the terms, conditions or representations made in this Agreement. Ticketholder understands that this release and indemnification is intended to be as broad and inclusive as permitted by the laws in which the event or activity is taking place and agrees that if any portion of these Terms is invalid, the remainder will continue in full force and legal effect.

    c. For California residents, Ticketholder further acknowledges and agrees that they are familiar with and do hereby waive all rights under Section 1542 of the Civil Code of the State of California (and similar provisions of other jurisdictions), which provides as follows:
    A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.
     

  6. INTELLECTUAL PROPERTY.

    a. Ticketholder acknowledges and agrees that IHRA exclusively and in perpetuity owns and controls any and all rights to videotape, broadcast, telecast, film, exhibit, distribute, photograph, exploit, record, print, or otherwise reproduce, and any and all rights to authorize others to do so, any film, audio, depiction, audiovisual, video, image, statistic, data (of any kind), photo, or sound arising from or related to, attendance at the Event (the “Works”) in any manner whatsoever, alone or in composite and/or conjunction with other materials, in any and all media, whether now known or hereafter devised (“Media”), in or by any manner, method, or device (whether now known or hereafter devised), and all other rights, privileges, benefits, matters, and things incident to or arising out of all or any of the foregoing, including, without limitation, for any and all commercial purposes, including for purposes of advertising and promoting IHRA. Ticketholder understands and agrees that by using a Ticket to enter the Event, Ticketholder grants IHRA and the Track (and their respective affiliates, sponsors, licensees, advertisers, broadcasters, designees, partners, and agents) an exclusive worldwide, irrevocable, perpetual, sub-licensable, royalty-free license to all rights associated with the Works.

    b. Ticketholder understands and agrees that, by using this Ticket, Ticketholder grants IHRA, the Track and the other Releasees the exclusive, perpetual, royalty-free, irrevocable, fully paid-up, worldwide right to use, exhibit, edit, disseminate, display, reproduce, print, publish, publicly perform, and make any other uses of Ticketholder’s image, name, sobriquet, marks, logos, voice, movements, gestures, actions, persona, signature, likeness, uniform, biomaterial, biographical material, and other indicia and attributes of Ticketholder, in any manner whatsoever, alone or in composite and/or conjunction with any other materials, on, via, or through any and all Media, for any purpose without further authorization or compensation, and Ticketholder waives all claims relating to such use unless prohibited by law.
     

  7. MISCELLANEOUS. To the fullest extent permitted by law, IHRA reserves the right to modify the pricing, seat locations, Event date, or other Event details relating to this Ticket, (ii) these Terms, and (iii) any other Rules, in its sole discretion and for any lawful reason. Notwithstanding anything to the contrary herein, IHRA reserves all rights under applicable law. If any provision of these Terms is invalid or unenforceable, such provision will be amended to the minimum extent necessary to make such provision enforceable, and the remainder of the Terms will not be affected.
